These terms are a plain-language agreement between you and NoteDM for the use of NoteDM — a tool that connects your Instagram and YouTube accounts to automatically reply to comments, send link DMs, schedule and cross-post videos, and track clicks. “We”, “us” and “NoteDM” refer to NoteDM; “you” refers to the person or organization using the service.

By creating an account or using NoteDM, you agree to these terms and to our Privacy Policy. If you don’t agree, please don’t use the service.

1. Who can use NoteDM

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to create an account. You must have the right to connect any Instagram or YouTube account you link to NoteDM — for a business or team account, you confirm you’re authorized to act on its behalf. One person or organization may not maintain more accounts than a plan’s stated limits allow in order to work around them.

2. Your account

You’re responsible for keeping your password confidential and for all activity under your account. Tell us right away at support@notedm.com if you suspect unauthorized access. We can suspend or block an account that we reasonably believe is compromised, abusive, or in breach of these terms.

3. Plans, billing & the free trial

Free plan

The Free plan is offered to creators whose connected Instagram account meets the follower threshold shown on the pricing page, with a monthly DM allowance also shown there. Eligibility is re-checked against your live follower count and can change if your account no longer qualifies.

Paid plans (Pro, Max, Enterprise)

• Paid plans are billed in advance through Razorpay, either monthly or annually — whichever you choose at checkout. Annual plans are billed as one upfront yearly charge, not twelve separate monthly charges.
• Subscriptions renew automatically at the end of each billing period until you cancel. Cancelling stops the next renewal; you keep access through the end of the period you’ve already paid for. See our Refund & Cancellation Policy for exactly how to cancel and when a refund applies.
• Refunds: fees already charged are generally non-refundable, including for partial months or years and for unused DM allowance — full details in the Refund & Cancellation Policy.
• We may change plan prices going forward. If a price changes, it applies from your next renewal — we’ll aim to tell you before it takes effect, and continuing to use a paid plan after that point means you accept the new price.

The one-time 7-day trial

NoteDM offers a single 7-day trial of Pro or Max per account — started either automatically (after using up the Free plan’s monthly DM allowance) or directly from the pricing page. Either way it’s the same trial: once used, from any entry point, it can’t be started again on that account. Starting a trial sets up a subscription whose first charge is deferred 7 days — if you don’t cancel before then, the card on file is charged automatically at the plan’s regular price.

4. Enterprise team seats

Enterprise includes a fixed number of team seats (shown on the pricing page) beyond the account that purchased the plan. Inviting someone to a seat and them accepting is how they join — each seat holder connects and manages their own Instagram account.

• Owner — the account that holds the subscription. Manages billing, team membership, and can see every connected account on the team.
• Admin — can invite or remove members and see every connected account, but can’t manage billing.
• Member — manages their own connected account and automations; can’t see other members’ accounts or the team’s billing.

Owners and admins can see which platforms a seat has connected and summary automation activity (like DM counts) — not the contents of private messages sent through another member’s account. Removing someone from the team frees their seat immediately; it does not delete their own NoteDM account or their own data.

5. Acceptable use

NoteDM is a tool — you’re responsible for what you use it to send. You agree not to use NoteDM to:

• Send spam, deceptive, harassing, or illegal content, or violate anyone’s rights.
• Violate Instagram’s or YouTube’s terms of service, community guidelines, or API/platform policies.
• Attempt to access accounts, data, or systems you’re not authorized to access.
• Reverse-engineer, scrape, or resell access to the service without our written permission.
• Introduce malware or interfere with the service’s normal operation.

We can suspend or terminate access for a violation of this section, with or without notice, especially where required to protect the service, other users, or comply with a platform policy.

6. Your content & connected accounts

You keep ownership of the videos, captions, and automation rules you create. By uploading or scheduling content through NoteDM, you give us the limited right to store and transmit it as needed to provide the service (for example, publishing it to the platform you chose). You can disconnect a connected account at any time from Settings — that immediately revokes our access and stops any automation relying on it.

7. Third-party platforms

Instagram and YouTube are operated by Meta and Google respectively, under their own terms and policies — not ours. We’re not responsible for changes those platforms make to their APIs, rules, or availability, including changes that affect features of NoteDM. Your use of those platforms through NoteDM must comply with their terms as well as ours.

8. Intellectual property

NoteDM’s software, branding, and design are owned by NoteDM and protected by applicable intellectual property laws. These terms don’t grant you any rights to our trademarks or branding beyond what’s needed to use the service normally.

9. Disclaimers

NoteDM is provided “as is” and “as available.” We don’t guarantee the service will be uninterrupted, error-free, or that any automation will produce a particular result (like a specific number of clicks, replies, or sales). We don’t control, and aren’t responsible for, decisions Instagram or YouTube make about your connected accounts.

10. Limitation of liability

To the fullest extent the law allows, NoteDM won’t be liable for indirect, incidental, or consequential damages (like lost profits or lost data) arising from your use of NoteDM. Our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim arose.

11. Indemnification

You agree to defend and hold NoteDM harmless from claims arising out of your content, your use of NoteDM in violation of these terms, or your violation of a third party’s rights (including Instagram’s or YouTube’s terms).

12. Termination

You can stop using NoteDM and delete your account at any time. We can suspend or terminate your access for a material breach of these terms, non-payment, or where required by law or a platform partner. Sections that by their nature should survive termination (like billing already due, limitation of liability, and indemnification) continue to apply.

13. Changes to these terms

We may update these terms from time to time. If we make a significant change, we’ll let you know on the site or by email. Continuing to use NoteDM after a change takes effect means you accept the updated terms.

14. Governing law

These terms are governed by the laws of India, without regard to conflict-of-law principles, and any dispute will be subject to the exclusive jurisdiction of the courts in Pune, India.
